Who signs, and what to check first

Both parties usually sign a mutual NDA; only the receiving party signs a one-way NDA. Check the definition of confidential information, the term (how long confidentiality lasts), and any survival clause, those three carry most of the agreement's weight.

Is an e-signed NDA legally valid?

Yes, in general. NDAs have no special form requirements in the EU, US, or UK, they're ordinary contracts, and electronic signatures are recognized under eIDAS, ESIGN/UETA, and UK law. As with any simple signature, what matters in a dispute is evidence of who signed and what they saw: keep the email thread, and return the signed copy from your own address.

Generally yes, a typed name entered with intent to sign is a simple electronic signature and legally effective. If the counterparty is a company with a signature policy, they may prefer a drawn signature or their own platform; that's preference, not legal necessity.

Should I sign an NDA with a cloud e-signature service?

You can, but a confidentiality agreement is a strange thing to hand to a third-party server. A browser-local signer produces the same legally recognized simple signature without any copy of the NDA existing outside the two parties.

Does the other party need the same tool to countersign?
